An attorney-drafted, reusable contract system for commercial photographers and studios.

Sign one Master Services Agreement with a client, then use a new Project Sheet for each shoot. Includes two copyright structures, a detailed Project Sheet, Change Order, and purchaser guide.

Designed for commercial and business photography—not weddings or consumer portrait sessions

One contract system for an ongoing commercial photography relationship.

If you work with business clients, every shoot shouldn’t require starting your contract from scratch.

The Commercial Photography MSA Bundle is designed for photographers and studios providing product, brand, business-event, e-commerce, advertising, and other commercial photography.

The system starts with one reusable Master Services Agreement that establishes the legal framework for your relationship with a client. For each new shoot, you complete a separate Project Sheet covering the scope, schedule, fees, deliverables, usage rights, production responsibilities, and other project-specific terms.

And when the scope changes? There’s a Change Order for that too.

What’s included

  • Reusable Photographer Master Services Agreement
  • Schedule A with two alternative IP structures
  • Detailed reusable Project Sheet
  • Change Order
  • Purchaser guide

Choose the copyright structure that fits the project

Photographer ownership + client license:
The photographer keeps the copyright while giving the client defined commercial usage rights. License duration and exclusivity can be set for the individual project.

Client copyright buyout:
For projects where the client requires ownership, the agreement also includes an assignment structure that transfers copyright after payment while allowing the parties to separately address the photographer’s portfolio rights.

That means you can handle your standard licensing model and a higher-value client buyout without maintaining two completely different contracts.

Built around real commercial photography deal points

The Project Sheet provides designated places to address issues such as:

  • Shoot dates, locations, and creative brief
  • Must-have shots and deliverables
  • Talent, props, products, wardrobe, locations, permits, and releases
  • Retouching and revisions
  • Overtime and turnaround
  • RAW and source files
  • License term and exclusivity
  • Portfolio restrictions and embargoes
  • Competitor restrictions
  • Generative-AI and image-modification permissions
  • Payment, cancellation, rescheduling, and weather
  • Insurance and venue requirements

The agreement also addresses confidentiality, subcontractors, expenses, reshoots, file retention, third-party materials, liability, indemnification, unsafe working conditions, and other issues that arise in commercial photography engagements.

AI-aware drafting

The standard licensing terms restrict use of delivered images for AI model training, fine-tuning, or benchmarking without a separate written agreement.

The Project Sheet also gives the photographer and client a specific place to decide whether generative-AI or AI-assisted image modification is permitted, prohibited, or allowed only under stated conditions.

Who it’s for

Best suited for commercial photographers and studios working with businesses, agencies, brands, retailers, manufacturers, e-commerce sellers, restaurants, professional firms, and other business clients—especially photographers with recurring clients.

This bundle is not designed for weddings, family portraits, newborn sessions, or other primarily consumer photography.

Important

Your purchase includes a license to customize and reuse the template for your own business or organization’s commercial photography transactions, subject to the Digital Product Terms and License.

This is a self-service digital legal product. Purchase does not include customization, individualized attorney review, negotiation assistance, or legal advice and does not create an attorney-client relationship or expand any existing or prior attorney-client relationship with King Patent Law, PLLC or it’s attorney.

Laws vary by jurisdiction and circumstances. No legal template can account automatically for every jurisdiction, project, client, or factual situation. Purchasers remain responsible for determining whether their particular circumstances require modification or individualized legal advice. Consider having the completed agreement reviewed by an attorney licensed in the applicable state, particularly for unusual projects, significant copyright transfers, sensitive subject matter, or state-specific right-of-publicity and other legal requirements.

If your project involves unusual risks, specialized legal requirements, or terms that require individualized analysis, you should consult an appropriate attorney. To work with King Patent Law, PLLC, for Illinois-based businesses or contracts, click here to book a consultation and get started.
